How to read a beneficial ownership filing

Read the security class and explanations. Beneficial ownership can include shared control and certain rights to acquire securities. It is different from a simple account balance, and two reporting persons can report the same shares.

Keep the dates distinct. The public filing date describes when the report was filed. The event date is the disclosed event requiring the statement. Neither establishes today’s position.

Missing figures stay missing. This reader extracts supported XML cover fields only. Narrative references, qualified percentages, unsupported structures and older HTML reports are not guessed or treated as zero.
